IBN PLATFORM ACCESS TERMS OF SERVICE

By purchasing or activating access to the IBN Platform, you (“User”) agree to the following Terms of Service.

If you do not agree, do not proceed with purchase or activation.

1. PLATFORM ACCESS

The IBN Platform provides access to proprietary CRM systems, workflows, templates, automations, and infrastructure owned exclusively by IBN.

Access to the platform is granted as a limited, revocable license. No ownership rights are transferred.

2. COSTS & USER RESPONSIBILITY

Platform access may be provided at no base cost; however, User is solely responsible for all usage-related expenses, including but not limited to:

• Phone number purchases
• Call charges
• SMS/text messaging fees
• Email sending fees
• Third-party integration costs

All communication expenses are the sole responsibility of the User. IBN does not cover or reimburse these costs.

3. INTELLECTUAL PROPERTY PROTECTION

All funnels, workflows, automation logic, templates, form structures, branding, system architecture, training materials, and designs within the IBN Platform are proprietary intellectual property of IBN.

User may NOT:

• Copy, duplicate, clone, reverse engineer, or recreate any proprietary system
• Screenshot or export materials for replication
• Build or assist in building a competing CRM system
• Resell, sublicense, or redistribute access
• Share login credentials

Unauthorized copying or replication constitutes material breach and may result in immediate termination and legal action.

4. USER DATA OWNERSHIP

User retains ownership of their client data, including:

• Client contact information
• Notes
• Form submissions completed by their clients
• Communication logs related to their clients

IBN retains ownership of all system infrastructure and proprietary materials.

5. CANCELLATION & DATA REQUEST

To cancel access and request data export, User must email:

Upon request:

• User must complete a Data Request Form.
• IBN will email a copy of User-owned client data within seven (7) business days.

Exported data will include only User-owned client data and will NOT include:

• Funnels
• Automations
• Templates
• CRM framework
• System architecture
• Proprietary designs

IBN is not required to retain User data beyond thirty (30) days after cancellation.

6. COMPLIANCE & HIPAA NOTICE

The IBN Platform maintains HIPAA-compliant infrastructure.

However:

• Users are solely responsible for lawful handling of protected health information (PHI).
• Users are responsible for compliance with all applicable federal and state regulations, including TCPA, CAN-SPAM, and privacy laws.
• HIPAA compliance features do not transfer legal responsibility to IBN for User actions.

7. TERMINATION

IBN may suspend or terminate access immediately for:

• Violation of these Terms
• Intellectual property misuse
• Brand misrepresentation
• Illegal activity
• Abuse of the platform

No refund or compensation shall be owed upon termination for breach.

8. NO PARTNERSHIP

Nothing in these Terms creates a partnership, joint venture, or agency relationship between User and IBN.

9. LIMITATION OF LIABILITY

The IBN Platform is provided “as-is” without warranties of any kind.

IBN shall not be liable for:

• Lost profits
• Data loss
• Communication failures
• Third-party integration errors
• Service interruptions

Total liability shall not exceed $100.

10. INDEMNIFICATION

User agrees to indemnify and hold harmless IBN from any claims, damages, or legal actions arising from:

• User’s communication practices
• Regulatory violations
• Client disputes
• Data misuse

11. GOVERNING LAW

These Terms shall be governed by the laws of the USA.
